By creating an account or using ProQuote, you agree to these Terms of Use ("Terms"). If you do not agree, do not use the app.
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts of Cuyahoga County, Ohio.
You retain all right, title, and interest in your business data — including your customers, jobs, proposals, e-signatures, and equipment records.
Alpine Freight LLC receives only a limited, revocable license to process your data for the purpose of operating and delivering the ProQuote service. We will not sell your data, share it with third parties for their own purposes, or use it for any purpose beyond service delivery.
ProQuote may use aggregated, anonymized data (from which individual users cannot be identified) for benchmarking, product improvement, and industry reporting.
Alpine Freight LLC grants you a limited, non-exclusive, non-transferable, revocable license to use ProQuote for your business purposes. Alpine Freight LLC retains all intellectual property rights in the ProQuote application, including its source code, design, and content.
ProQuote offers the following monthly auto-renewing subscription plans:

Free trial: New accounts receive a 14-day free trial of Pro. The trial converts to a paid subscription unless cancelled before it ends.
Billing: All payments are processed by Apple via In-App Purchase. Payment is charged to your Apple ID at confirmation of purchase. ProQuote does not have access to your payment information. Apple is not responsible for ProQuote's refund decisions.
Cancellation: Subscriptions auto-renew unless cancelled at least 24 hours before the current period ends. Manage subscriptions via iPhone Settings → Apple ID → Subscriptions.
Post-cancellation: Upon cancellation, your account transitions to read-only mode. You have a 30-day window to export your data. After 90 days, your data will be deleted from our servers.
ProQuote offers an optional integration with Intuit QuickBooks Online ("QBO") for Pro and Premium subscribers. Your use of the QBO integration is additionally governed by Intuit's own Terms of Service and Privacy Policy, which you accept when you authorize the connection. You are responsible for maintaining your Intuit account in good standing and for the accuracy of any data synced to QBO.
Alpine Freight LLC is not affiliated with, endorsed by, or sponsored by Intuit Inc. "QuickBooks" and "QuickBooks Online" are trademarks of Intuit Inc.
You may disconnect QBO from ProQuote at any time (Settings → QuickBooks → Disconnect) or from your Intuit account at appcenter.intuit.com/app/myapps. Upon disconnection, ProQuote immediately revokes its OAuth token with Intuit and stops data exchange. Records previously synced to QBO remain in QBO under your control.
Alpine Freight LLC is not liable for data loss, duplicate records, sync errors, or any issue arising from changes to Intuit's API, service availability, or pricing.
You may not:
ProQuote is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
All pricing, estimates, calculations, and proposals created in ProQuote are your responsibility. ProQuote does not guarantee the accuracy of any estimate for any specific job or trade.
Ohio contractors: Ohio's Home Construction Service Suppliers Act (ORC Chapter 4722) requires written contracts with dated signatures for home construction services costing $25,000 or more. Electronic signatures generated by ProQuote satisfy this requirement under UETA.
In-home sales: The FTC Cooling Off Rule (16 CFR 429) grants consumers a 3-day right to cancel contracts signed at their home. Contractors are responsible for providing required cancellation notices.
To the maximum extent permitted by law, Alpine Freight LLC's total liability to you for any claim arising from these Terms or your use of ProQuote shall not exceed the greater of:
Alpine Freight LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Alpine Freight LLC and its officers, members, and agents from any claims, liabilities, damages, and costs (including reasonable attorney fees) arising from: (a) your use of ProQuote; (b) your business data; (c) your violation of these Terms; or (d) any dispute between you and your customers.
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days advance notice via in-app notification or email. Continued use of ProQuote after the effective date constitutes acceptance of the updated Terms.
Alpine Freight LLC may suspend or terminate your access to ProQuote at any time for: breach of these Terms, non-payment, fraud, security risk, or any activity that harms other users or the service. Upon termination, your license to use ProQuote ends immediately.
Any dispute arising from or relating to these Terms or ProQuote that cannot be resolved informally shall be submitted to binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Cuyahoga County, Ohio.
Class action waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration against Alpine Freight LLC.
Small claims exception: Either party may bring an individual claim in small claims court without arbitration.
Opt-out: You may opt out of this arbitration agreement by emailing legal@useproquote.com within 30 days of first creating your account. Opting out does not affect your right to use ProQuote.
